Terms of Service & Regulatory Disclosures
Last Updated: 2026-10-01 • Please read carefully before using Pairity.
1. Acceptance of Terms
By accessing, browsing, interacting with, or connecting a cryptocurrency wallet to the Pairity interface or associated smart contracts (the “Protocol”), you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, you must immediately cease accessing and interacting with the Protocol.
2. Eligibility & Restricted Jurisdictions
The Protocol is not intended for use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to local law or regulation, or which would subject Pairity or its contributors to any registration, licensing, or qualification requirement.
You explicitly represent and warrant that you are NOT a resident, citizen, or tax domiciliary of, and are NOT accessing the Protocol from:
- The United States of America (including its territories and possessions);
- Countries subject to comprehensive sanctions by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or HM Treasury, including Cuba, Iran, North Korea, Syria, the Russian Federation, Belarus, and the Crimea, Donetsk, and Luhansk regions;
- Any other jurisdiction where the issuance, promotion, purchase, or exchange of cryptographic tokens is deemed unlawful or restricted.
3. Non-Custodial Software Architecture
Pairity is a decentralized web application interface interacting with public, open-source smart contracts deployed on the Solana blockchain. Pairity does NOT take custody of user funds, private keys, or digital assets. All transactions, buys, sells, migrations, and fee distributions are executed peer-to-peer directly on the Solana network via the user’s self-custodial wallet.
4. High-Risk Investment & Volatility Warning
CRITICAL RISK NOTICE:
Tokens created and traded on bonding curves are experimental, speculative, and highly volatile digital assets. They are NOT securities, shares, equity, debt, or financial instruments. They carry NO promise of dividends, profits, voting rights, or ongoing developer support. You may lose 100% of any funds committed.
No communication from Pairity, its creators, or its documentation should be construed as investment, financial, legal, or tax advice. You are solely responsible for conducting independent due diligence before creating or trading any token.
5. Token Creator Obligations & Prohibited Activities
Any user deploying a token using the Pairity launch interface represents, warrants, and agrees that:
- The token does not represent an investment contract, security, derivative, or financial product under the laws of any applicable jurisdiction;
- The token metadata, name, image, and description do not infringe upon any third-party intellectual property, copyright, or trademark rights;
- The token is not created for fraudulent schemes, manipulation, wash trading, terrorism financing, money laundering, or illegal operations;
- The token creator is solely responsible for any local tax reporting and legal filings required in their country of residence.
6. Paired Identity Attribution & 30-Day Escrow Policy
Pairity incorporates an open-attribution pairing protocol allowing token creators to pair a token with a public handle, channel, domain, AI model, or wallet.
Disclaimer of Affiliation: Pairing a token with an external third-party identity (e.g. an X username, YouTube channel, Twitch streamer, or domain) does NOT imply that the owner of that external identity created, endorsed, sponsored, or has any connection to the token. Accrued escrow fees for unverified social accounts are held in dedicated deterministic escrow wallets. Unclaimed paired-account fees are held for 30 days after they first arrive, then go to the platform treasury.
7. Bonding Curve Graduation & AMM Migration
When a token reaches its bonding curve migration threshold (~85 SOL):
- The bonding curve completes and liquidity migrates to the open AMM pool;
- The fee split chosen at launch remains permanently locked and enforced on-chain;
- Tokens trade on open decentralized exchange pools with WSOL quoting.
8. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, in no event shall Pairity, its founders, developers, operators, or affiliates be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data, tokens, or digital assets resulting from smart contract bugs, RPC downtime, blockchain congestion, price volatility, or unauthorized access.
You agree to defend, indemnify, and hold harmless Pairity and its contributors from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Protocol or your violation of these Terms.
